‘“But the wise man knows himself to be a fool,”’ recalls the jester Touchstone in Shakespeare’s As You Like It. (As. V. i. 30-31.) Touchstone’s jest informs the creation and marketing of intellectual property. In today’s world that means the wise obtain a well-reasoned legal clearance opinion before proceeding with a tradename, using a trademark, making, using, or selling a patented invention, or even publishing.
At bottom, IP defines ownership of ideas. Ideas occur in the cultural context to which we belong, not typically as isolated flashes of brilliance, no matter how smart we might be. And in a global economy, that context can result in costly conflicts.
For example, incremental steps forward characterize most patented inventions. The statutes deliberately eliminate any flash of genius test. When Thomas Edison patented the first commercially successful incandescent light bulb in 1880, there were many others working on this technology at the same time. Evaluating freedom to operate and patentability become critical in a competitive global market.
Successful launches typically result from the cooperation of diverse minds, including the creator’s special expertise, the manufacturer, the marketer, and the attorney who has legal training to clear the matter and obtain the IP that forms the business foundation. Even though individuals contribute incremental steps, success demands acceptance and resolution of these multiple viewpoints.
Perhaps because of technological focus and complexity, or to reduce perceived costs, our current culture tends to favor decisions by those having common backgrounds, experience, and education, potentially sacrificing the benefit of diverse expertise and challenging viewpoints.
Think of the institutional investor or the company that applies for IP to attract investors or put up a fence without doing sufficient due diligence to evaluate patentability, freedom to operate, or other IP protections.
Think of the songwriter. More than one has created a musical composition that turned out to contain a recovered memory of another’s work even though initially thought to be original.
Think of the CEO who makes up a trade name or trademark based on a combination of languages that captures some suggestive quality of the company’s products. Now imagine that person’s surprise when a clearance search turns up closely related or even identical terms previously adopted by others for similar uses.
The wise engage experienced IP counsel early on to evaluate ideas, how best to protect them, and to assess potential conflicts. These steps are often a balancing act for companies pressured to launch new work, reduce costs, and make profits. However, in a global, multicultural economy that demands diversity with its attendant and sometimes conflicting viewpoints, those steps are more critical than ever to increase the probability of success.

Juliet said to Romeo, “’Tis but thy name that is my enemy.” (II, ii, 38.) Yet when choosing a trade name to identify their business, or some aspect of it, many companies fail to do more than see whether they can register their business name with the Secretary of State.
O ye who have not consulted your intellectual property attorney, take heed! The Secretary does not evaluate your trade name for anything more than to determine whether it is identical to another name previously registered to do business in the same state. And they hardly need vary to pass muster.
The Secretary does not evaluate the name to consider whether it can distinguish your company from another or under the “likelihood of confusion” legal standard, which asks whether consumers viewing your name and recalling another are likely to be confused as to the identity of a business or the source of the goods and services offered.
If that failure to distinguish, that confusion as to source, or an objection by others seems likely, then “doff thy name” and make one less enemy. (II, ii, 47.) “By any other name, would a rose smell as sweet?” (II, ii, 44.) Just so, your company called by a different name would “retain that dear perfection which it owns without [the offending] title.” (II, ii, 46.)
Consider building business goodwill, which is an intangible asset of value, in a name that is arbitrary or suggestive of some quality your company conveys and by which it distinguishes itself.
Descriptive terms can also serve as trade names but can be harder to distinguish from others until sufficient recognition has been created in the mind of the consumer so that confusion is not likely. That recognition is often referred to as “secondary meaning.” And yes, these are like the legal standards by which courts determine trademark infringement. You might consider avoiding trademark or service mark infringement as well.
That leaves copyright infringement to consider in your design elements, typically created in-house or by your advertising firm. Know the terms of any agreements permitting your use of the design and whether the artwork is original. Courts evaluate copyright infringement depending in part on access and substantial similarity. If the artwork is original, then it is less likely, although not impossible, that the artist had access to the copyright owner’s work.
The best strategy is to commission a comprehensive search and to obtain a legal clearance opinion for adoption and use of your trade name, looking into state registrations, common law uses, federal trademark applications and registrations, domain names, web sites and others and even other countries if your business is international.
This initial step can be hard to justify at the beginning of a venture unless one considers the cost of changing names after having invested in advertising, building consumer recognition and business goodwill, and starting over later with no money and no goodwill.
Better to make smart choices in the beginning. Make that offending trade name “no part of thee.” (II, ii, 48.)

Refusals to register a mark based on likelihood of confusion with a preexisting registration or earlier filed application can be difficult, especially where the marks are identical or otherwise confusingly similar and the goods or services are closely related. If the owner of the cited registration or application has stopped using its mark in commerce and has no bona fide plans to resume use of the mark in the reasonably near future, then you may be able to successfully cancel the registration or to have the owner voluntarily do so. Another potential option is to continue to use the mark in the absence of registration and to continue to build common law good will in the mark so long as an infringement action does not seem likely. Yet another potential option that may be viable in some instances, where the parties can avoid a likelihood of confusion and take steps to correct consumer confusion in the market place if it occurs, is a consent agreement. Some of these options require alerting the senior user to your presence in the market place, which is a consideration that must also be carefully considered.
“Likelihood of confusion” refers to that legal standard whereby the ultimate consumer of goods or services in the marketplace, when viewing one mark and recalling another, not necessarily in a side-by-side comparison, is likely to be confused as to whether the source of goods or services in each instance is the same or different. The U.S. Patent and Trademark Office seeks to protect consumers from likelihood of confusion as to source and to grant enforceable rights to trademark owners to preclude others from using marks that erode established trade identities. The relatively recent rise of the craft beer phenomenon has given rise to some interesting trade rights considerations that otherwise typically do not come up.
For example, none of us would presume that famous brands like Budweiser® or Coors® for beer would permit their marks to be used on anything else, whether related to beer or not, without facing the strong arm of the law. Craft beer is a little different. First, there are lots and lots of them, seasonal and year-round beers, with as many different brands, and new breweries and brands popping up on a regular basis. Second, the Trademark Office regularly rejects applications for trademarks for beer or wine where a senior user has a pre-existing application or registration for the other beverage.
I rescued an American Pitbull mix named Oberon (also an ode to the Shakespearean fairy King in “A Midsummer Night’s Dream) a year or so ago and have enjoyed Oberon® ale made by Bell’s Brewery in Michigan with his trainer over Oberon’s success in receiving his certificate of canine obedience and discipline. Recently, at a local restaurant, I ordered wine with dinner and to my surprise was served an Oberon® Napa Valley cabernet from the Michael Mondavi family. Was I confused? Not at all. The USPTO allowed the two registrations to coexist and to overcome an otherwise final 2(d) refusal because the two owners were sufficiently disciplined to file and maintain a co-existence and consent agreement in obedience to Trademark Office requirements. They agreed the marks were used on distinctive products and served distinctive commercial purposes, that the trade dress was distinct, and that the commercial impressions created were distinct. The parties also noted a history of peaceful co-existence and agreed to cooperate and to take all reasonable measures if confusion developed in the future. They recognized each other’s rights.

There are at least two reasons why a competent and well-reasoned legal opinion on patentability is critical to your success. First, knowledge of patentability is foundational to making business decisions, not only about the cost and effort to obtain a patent, but also to support investment in developing and marketing the technology. Second, knowledge of what is the invention is foundational to obtaining value. A quality patent is written with a firm knowledge of the metes and bounds of the invention. Neither the inventor nor the patent attorney can know the scope of patentability without doing the analysis work.
Not all inventions are patentable. A competent search of the prior art can provide a reliable, although not conclusive, indication of just what is patentable. Many inventors believe they know what their invention is when they come to their patent lawyer, and, rarely, they do. However, it is important to keep in mind that t
he invention disclosure is only a starting point. The patentable invention is defined by the prior art. The prior art is defined by statute and caselaw. Very few inventors, even the most sophisticated, know the patent statutes and caselaw sufficiently to make an informed determination of patentability. The patent attorney cannot evaluate patentability without a search and a written, supported opinion. The consequences of a poor foundation can be disastrous if the invention is successful.
If the invention initially is claimed too broadly, then the interpretation of those claims when issued can be limited by the preclusive impact of statements made during prosecution history, sometimes called “prosecution history estoppel.” A patent application based on a well-founded patentability opinion can avoid or limit the application of prosecution history estoppel in contested matters.
If the inventor knows his invention, but not the prior art, then what typically can happen is that the invention as described includes prior inventions: inventions the inventor made, that have since entered the prior art and can be applied against the patentability of the current invention. These issues can be very tedious and expensive to sort out in retrospect and are a very real barrier to licensing technology. A prospective licensee evaluating the patent application will be called upon to assess patentability and may have to sort through the art to separate patentable from unpatentable subject matter, a task that could have been performed before the application was written, typically at much lower cost. The application owner, later the patent owner, can expect licensing fees, if any, to be minimized in this situation. Cost and reduced licensing revenue are not the only or even the primary issue, though. Failure to adequately identify the patentable invention makes it very difficult to define the advantages of the recent invention over the inventor’s own art and may be fatal to obtaining a patent.
Not long ago, when budgets were tight, patentability opinions were often skipped to conserve funds. Most inventions, and most patents, do not ultimately generate revenue and so cutting costs became the primary concern. The belief was that given that amount of manure, there must be a pony in there somewhere. Your Intellectual Property lawyer should ask several initial questions so that he or she can best serve your needs. IP legal counseling services became somewhat commoditized after the 2008 recession. Your lawyer is your advocate, on your side. His or her hard questions, although difficult to address, are designed to reduce misconceptions and to provide legal services to suit your needs. Consumers drive the price of counseling services in today’s market, yet few understand in depth what they are buying. Coupled with the ability to negotiate low prices for volume work or simply to choose among a variety of services, the IP consumer may purchase a compromised product only to regret it at a later date.
What property have you created? Proprietary IP potentially can be protected by any of several types – utility, design, or plant patents, trademarks, copyrights, trade secrets, and know-how among them. Determining the approach is critical. It is important to understand what each of these forms of protection can and cannot do for you and to know which among them is best suited to your needs and the property you have created.
Who owns the property? Failure to correctly assess ownership can be fatal to certain types of IP, including federal trademark registration, and can negatively impact the patentability of inventions. Getting ownership wrong can be a very costly mistake, the damage from which may not show up for some time.
Can use of your IP infringe the superior rights of others? Related to both the type of property and its ownership, this question seeks to determine whether you are willing to undergo the cost of a clearance search and legal opinion about the potential consequences of placing your IP into the marketplace. Neither patents nor trademarks offer a positive right to do anything, only to stop others from using yours.
What does “IP protection” mean to you? Patents and trademarks, for example, can provide a barrier to entry to competitors – a powerful tool in the market place. A common misconception is that “protection” means no one else can practice the invention or use your trademark. Obtaining the IP, although significant and necessary, is only the first step in the right to exclude. You must also enforce your IP against infringers, which typically is of far greater cost than obtaining the IP. If obtaining the IP is all you can muster, then it is appropriate to ask whether you need it. One solution is to license valuable IP to a company of a size to enforce it.
Why do you need the IP? Sometimes clients misunderstand the value proposition in maximizing IP assets. Even for fixed fee services, time is still a factor and value is a factor of the services performed. The “diamond in a lump of coal” approach to maximize assets while minimizing expenses typically produces only coal. It is important to know the endgame, to remember that you are purchasing services to provide a custom product, and that the product is an intangible, not a tangible asset like a parcel of land backed by a deed or an automobile backed by a warranty.
How long do you plan to use the IP? Trademark rights are established in use, so if you do not use the mark over a significant time to establish a source-identifying function, then obtaining a trademark registration may not be worth much. Patents can take years from filing to issuance, so if the market for your product is short-lived, then patent protection may not be the best option.
Are you seeking investment capital for your business based on the IP? If so, be aware of and carefully comply with disclosure requirements, particularly where securities are offered, and be wary of disclosures that could compromise future IP rights.
What are your budget constraints and what is it you are not getting for your budget? As important a business tool as is a budget, a more important matter may be to know what you aren’t getting for the budget you provide. Your lawyer should explain to you the various options and the potential consequences. Unlike a tangible asset, you cannot replace a species of IP and there are many matters that cannot even be repaired if a problem develops after an application for protection has been made.
Multiple forms of IP protection, including multiple patents and trademarks can build a fence and provide a significant barrier to entry for competitors. Barrier to entry is much harder to maintain with only one or a few properties, yet it is also true that many aspects of IP cost money to protect but do not provide a direct return on that investment unless there is a market. It is important to carefully assess both a property and the market to determine value before making an investment.
